Senior Legal Counsel

1. JOB PURPOSE:

 

  1. Guide and support the Contract and Business Partners Division to provide excellent services that are timely, accurate, compliant and consistent with leading practice;
  2. Will manage the reporting team to work closely with the concerned teams to anticipate their need for legal support and to understand their priorities;
  3. Provide expert and strategic legal advice to the management on the assigned projects/matters/contracts.
  4. Evaluate and weigh multiple inputs and impacts of any decision or course of action on the assigned issues or projects.
  5. Anticipate issues and estimate risks whether strategically or operationally on all assigned tasks;
  6. Identify proactive solutions that will eliminate or mitigate risks;
  7. Basing decision making process on law, internal policies, ethics and integrity;
  8. Create associations of trust and respect with key stakeholders and internal customers;
  9. Draft agreements that minimize risks and maximize legal rights and protection;
  10. Keep abreast of legislative changes.

Main Responsibilties

Staff Leadership:

  • Supervise staff, including performance planning, learning and development and performance review.
  • Promote teamwork.
  • Engage and motivate staff.
  • Monitor, evaluate and manage the activities of the legal staff and assist upper management by providing legal advices and counsel on handling contract matters.

People Management:

  • Cascade and communicate action plans, motivates and empowers and coach team’s members to achieve best results.
  • Ensure clear understanding and compliance of team members with the Company policies and code of conduct.

Drafting/reviewing Contracts:

  • Engage in complex, significant matters/projects that cut across legal and related areas in addition to reviewing/drafting/amending all documents related to the same;
  • Drives contract lifecycle from drafting through completion of the negotiation process, to insure smooth sailing during contract execution and safe exit scenario when needed;
  • Leading and managing the team to standardize contracts and general T&C to insure securing the best interest of the company and minimizing review time and eliminating human error factor;
  • Maintains a deep understanding of contract templates, contracts policy, legal risk and liability, and company position on various matters;
  • Identifies business objectives and facilitates risk/benefit analysis.
  • Drafts, manages, distributes, responds to, or analyzes RFPs, RFQs or terms & conditions as needed.
  • Contribute in the negotiations with the contractors, vendors…etc. if required.
  • Prepares contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations;
  • Interprets contracts and advises various stakeholders on contractual responsibilities;
  • Directly assign Legal Business Partners to various Business units (Company Depts. and ISPs).
  • Ensure smooth communication and full cooperation of the assigned Business Partners to other Stakeholders.

Legal Advices/Researches:

  • Perform/assign legal member, as appropriate, to conduct legal research when required to support the legal work and provide legal advices and to stay up-to-date.
  • Consistently anticipate, timely evaluate and resolve issues; propose mitigation strategies to management for potential risks in contractual, regulatory, revenue recognition, financial and other legal areas;
  • Anticipate issues and estimate risks whether strategically or operationally on all assigned tasks;
  • Ensure delivery of timely, strategic and commercial legal services that meets Etisalat’s needs;
  • Seeks opportunities for organizational improvement and motivate subordinates to develop better ways of handling their workflows, products/services, processes and daily tasks;
  • In collaboration with the General Counsel/HOD, identify, lead and contribute to the development and implementation of strategies for the proper execution of related laws and regulations.

Committees Participation:

  • Assist with launching new business lines and products, corporate matters, intellectual property, dispute resolution, regulatory compliance, employment, and strategic partnerships;
  • Participate in the formation of all required committees to assist in taking the right legal decisions in compliance with the Egyptian law.

  • Provides constant monitoring of customer (external-internal) oriented approaches.

3. QUALIFICATIONS AND EXPERIENCE:

Qualifications:

Essential

  • University degree in law.
  • Very good computer skills.
  • Excellent command of both Arabic and English (reading, writing and oral)

Experience:

Essential

10 years

Desirable

12 years +
